Terms of Service: learnOPENtech, LLC

Welcome to learnOPENtech, LLC (“LOT,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the software services, hosting, email services, and consulting services provided by LOT (collectively, the “Services”). By subscribing to our Services, you agree to be bound by these Terms.

1. Description of Services

LOT provides solutions centered on Linux and Open Source software, specifically including Odoo Community Edition (CE) hosting as a Software-as-a-Service (SaaS), Fastmail email reselling, and technical consulting. We act as a service provider; we do not claim ownership of your business data or your independently registered domain names.

2. Client Responsibilities

  • Domain Ownership: For all SaaS hosting packages, the Client is responsible for registering and maintaining their own domain name through LOT’s DNS registrant (DynaDNS) or bring their domain from an independent registrar. LOT is not responsible for domain renewals or loss of domain access due to Client negligence.
  • Account Security: The Client is responsible for maintaining the confidentiality of all login credentials provided to them.
  • Lawful Use: The Client agrees not to use our Services for any illegal activities, including but not limited to spamming, hosting malware, or violating copyright laws.

3. Payment and Suspension of Service

  • Billing Cycle: Services are billed on a Monthly/Annual basis.
  • Late Payments: All payments are due within 30 days of the date on your invoice.
  • Suspension Clause: LOT reserves the right to suspend all hosting, email services, and access to Odoo instances if any invoice remains unpaid for more than ninety (90) days.
  • Reinstatement: Suspension of service does not waive the Client's obligation to pay outstanding balances. Reinstatement of services may be subject to a re-connection fee at the discretion of LOT.

4. Data Retention and Termination

  • Termination: Either party may terminate the service agreement with 30 days' written notice.
  • Data Deletion Policy: Upon termination or suspension of services (due to non-payment or otherwise), LOT reserves the right to permanently delete all website files, databases, configurations, and associated data from our servers. LOT uses Open Standards, so your data is stored in a format you can download offline.
  • Client Duty to Backup: It is the sole responsibility of the Client to download and maintain local backups of their data. LOT is not responsible for any loss of data resulting from service suspension or termination.

5. Nature of Open Source Software (Disclaimer of Warranties)

The Client acknowledges that our primary service utilizes Open Source Software (e.g., Linux, Odoo CE, etc).

  • "As-Is" Basis: All services are provided on an "as-is" and "as-available" basis.
  • No Warranty: LOT makes no warranties, express or implied, regarding the uninterrupted operation of Open Source software. We are not liable for bugs, security vulnerabilities, or breaking changes inherent in the community-driven updates of Open Source software. LOT will make every effort to resolve any issues as soon as possible, which might include temporary or workaround fixes if necessary.

6. LOTs 3rd Party Services

LOT uses 3rd Party Services to provide our clients with streamlined business logistic tools, email, and server-hosting. By using LOT SaaS 3rd Party Services, you agree by their terms, if you aren’t bringing your own domain name and email address. We’ve chosen these services because they were the most privacy focused, with the least amount of personal/business information needed. These services include:

  • DynaDNS - LOT is a reseller of DynaDNS domain names. We do this as a way to point our clients to a service that doesn’t try to up-sale or provide add-ons at checkout for their domain name. LOT wants our clients to understand the importance of controlling their branding and digital presence online. That includes their domain name. LOT will help you understand how to register for, and renew your domain name so you’ll never loose access to it by a hosting provider. https://www.dynadot.com/terms-of-use
  • Akami / Linode - Originally Linode, now Akami, is who LOT hosts our clients servers through. https://www.akamai.com/legal
  • Fastmail Email - LOT uses Fastmail email services for clients who don’t have a business email already setup. https://www.fastmail.com/policies/terms-of-service/

7. Limitation of Liability

To the maximum extent permitted by law, learnOPENtech, LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of the use or inability to use our services, even if we have been advised of the possibility of such damages.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
